Terms of Service
These Terms of Service ("Terms") govern your access to and use of SysML Studio, the online SysML v2 diagram editor available at sysml.pro (the "Service"), provided by [Your Legal Name / Company] ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance and eligibility
You must be at least 13 years old to use SysML Studio. If you are between 13 and the age of legal majority in your country, you may use the Service only with the consent of a parent or legal guardian. By creating an account, you represent that you meet these requirements and have the legal authority to enter into these Terms.
If you are using SysML Studio on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
2. The Service
SysML Studio is a browser-based visual editor for creating, editing, exporting, and sharing diagrams in the OMG SysML v2 notation. The Service currently includes block definition, package, requirement, internal block, state machine, use case, sequence, activity, and parametric diagrams, along with real-time collaboration features. We may add, modify, or remove features at any time, with or without notice, though we will try to communicate material changes in advance.
3. Your account
To use most features, you need to create an account with a valid email address and password, or sign in with Google. You are responsible for:
- Keeping your credentials confidential.
- All activity that happens under your account.
- Promptly notifying us at security@sysml.pro of any unauthorized access or suspected breach.
- Providing accurate, up-to-date contact information.
We may suspend or terminate accounts that violate these Terms, are inactive for 12 consecutive months, or pose a security risk to other users.
4. Acceptable use
You agree NOT to use the Service to:
- Violate any law, regulation, or third-party right (including copyright, trademark, trade secret, privacy, and publicity rights).
- Upload or share content that is unlawful, defamatory, harassing, hateful, infringing, or fraudulent.
- Interfere with the Service's operation or attempt to circumvent any security or access control mechanism.
- Reverse-engineer, decompile, or disassemble any part of the Service, except to the extent permitted by applicable law.
- Scrape, crawl, or use automated means to access the Service beyond normal browser use, without our prior written consent.
- Use the Service to build a competing product or benchmark against it without our written permission.
- Transmit viruses, malware, or any other harmful code.
- Use the Service to send spam or unsolicited messages.
- Impersonate any person or entity, or misrepresent your affiliation.
We reserve the right to investigate suspected violations and to suspend or terminate accounts accordingly.
5. Your content
You own your diagrams. SysML Studio does not claim ownership of the diagrams, code, models, or other content ("Your Content") you create or upload. You retain all intellectual property rights in Your Content.
To provide the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Your Content solely for the purpose of operating and improving the Service for you — including backups, indexing, generating previews, and enabling collaboration with users you explicitly share with. This license ends when you delete the content or your account (subject to our 30-day backup retention described in the Privacy Policy).
You are solely responsible for Your Content and must ensure you have the rights to upload and share it. We do not endorse, review, or verify user content and are not liable for it.
6. Our intellectual property
The Service itself — including the code, design, trademarks, and all related intellectual property — is owned by us and our licensors. Except for the rights expressly granted to you in these Terms, no license to our intellectual property is granted. "SysML" is a registered trademark of the Object Management Group, Inc., used with respect to the underlying specification. "SysML Studio" and its logo are our trademarks.
7. Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use them for any purpose, without compensation. You are not obligated to provide feedback, and we are not obligated to act on it.
8. Fees and billing
The Service is currently offered in a free tier. In the future, we may introduce paid plans ("Pro") with additional features. Prices and features will be clearly disclosed at the point of purchase. Any paid plan will be subject to additional billing terms presented at that time. Existing free users will not be automatically migrated to a paid plan without explicit consent.
9. Availability and modifications
We aim for high availability but do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may suspend the Service for maintenance, upgrades, or security reasons. We may modify or discontinue the Service (or any part of it) at any time with reasonable notice for material changes.
10. Termination
You may stop using the Service at any time and may delete your account from the user menu inside the app. Upon account deletion, Your Content is permanently deleted within 30 days (except as required by law).
We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms, violate the law, or pose a security risk. Upon termination, sections 5 (as to the content license during the 30-day backup window), 6, 7, 11, 12, 13, 14, and 15 survive.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the Service will meet your requirements, that Your Content will be preserved without error or loss, or that defects will be corrected. You use the Service at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, the excluded warranties are limited to the minimum permitted by law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) Your Content, (b) your breach of these Terms, (c) your violation of any third-party right, or (d) your misuse of the Service.
14. Governing law and disputes
These Terms are governed by the laws of [Your Jurisdiction, e.g., the Republic of Chile], without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the courts of [Your City, Your Country], and you consent to their personal jurisdiction.
If you are a consumer in the European Union, nothing in this section deprives you of the protection afforded by the mandatory laws of your country of residence, and you may also bring proceedings in the courts of your place of residence.
If you are a resident of a jurisdiction that requires a different governing law or forum for consumer contracts, that requirement will prevail to the extent legally required.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify registered users in-app or by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The version number and last-updated date at the top of this page always reflect the current version.
16. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is held unenforceable, the remaining provisions will remain in full force.
- No waiver: Our failure to enforce a right is not a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
